After investigation, the company had the following information disclosure violations: First, Rollei Life disclosed on October 26, 2023, that it “received a written resignation report from then-director Zhao Bingxian, and Zhao Bingxian applied to resign as a director due to personal reasons.” Zhao Bingxian did not sign the resignation report until October 26, 2023, and the above information disclosed by the company did not match the actual situation. Xue Xia, secretary of the board of directors of the company, as the person directly responsible for information disclosure matters, failed to be diligent and conscientious, violates the provisions of section 4 of the “Administrative Measures on Information Disclosure of Listed Companies” (Securities Regulatory Commission Order No. 182), and bears the main responsibility for the company's irregularities.
