According to the Zhitong Finance App, Hong Kong Resources Holdings (02882) issued an announcement. As disclosed in the closing date announcement, the public held 53.610.7 million shares of Hong Kong Resources shares, accounting for about 19.88% of the company's total issued share capital. As a result, the company failed to comply with the 25% minimum public shareholding requirement set out in section 8.08 (1) (a) of the Listing Rules.
After the end of the offer, the company applied for an exemption from strictly complying with the requirements of section 8.08 (1) (a) and section 13.32 (1) of the listing rules from the cut-off date (i.e. February 9, 2024) to May 9, 2024 (including the exemption period) to take necessary actions to restore the company's public shareholding to no less than 25%, including but not limited to the intention of the offeror to sell certain Hong Kong Resources shares held by it to an independent third party on or off the Exchange.
