As disclosed in the company's announcement dated February 1, 2024, after the resignation of Mr. Zhou Meilin and Mr. Zhou Rui, the company did not meet the following requirements: the minimum number of three independent non-executive directors as stipulated in section 3.10 (1); at least one independent non-executive director must have appropriate professional qualifications or accounting or related financial management expertise as stipulated in section 3.10 (2); independent non-executive directors as stipulated in section 3.10A must account for at least one-third of the number of board members; section 3.21 The Audit Committee under section must be chaired by an independent non-executive director and composed of at least three members; the majority of members of the Remuneration Committee under section 3.25 must be independent non-executive directors; and the nomination committee (or equivalent committee) under section 3.27A must be chaired by the Chairman of the Board of Directors or an independent non-executive director.

In this case, the Exchange has imposed additional trading guidelines on the company, namely re-complying with Sections 3.10 (1), 3.10 (2), 3.10A, 3.21, 3.25 and 3.27A.

The company is seeking suitable candidates to fill the vacancy of independent non-executive directors to comply with the listing rules and the above additional resumption guidelines, and will make further announcements in due course. Trading of the company's shares continues to be suspended.
