The share transfer price is RMB 20 yuan/share, and plans to entrust the voting rights corresponding to the 54,721,745 shares of Kehua Biotech (accounting for 10.64% of the current total share capital of Kehua Biotech) to the exercise of its principal interests; at the same time, after completing the proposed share transfer procedures, the two sides will cooperate to proceed with Kehua Biotech's board of directors and supervisory board of directors and supervisors Adjustments and re-election matters.

If the implementation of this transaction is completed, it is expected that Zhitong Benyi will directly hold 5% of Kehua Biotech's shares and control 10.64% of Kehua Biotech's voting rights through voting power entrustment, controlling a total of 15.64% of Kehua Biotech's voting rights. At the same time, it will achieve substantial control over Kehua Biotech through control of Kehua Biotech's board of directors. Zhuhai Baolian will still hold 13.64% of Kehua Biotech's shares. After the “Voting Rights Entrustment Agreement” is signed and put into effect, during the voting rights entrustment period, the Zhuhai Insurance Federation will act in agreement with the principal interests.
