Gelonghui, January 5, 丨 HKUST Intelligence (300222.SZ) announced that on January 5, 2024, HKUST Intelligent Technology Co., Ltd. and Mr. Lu Bing and Suzhou Jianlong Enterprise Management Partnership (“Jianlong Zaitian”) jointly signed the “HKUST Intelligent Technology Co., Ltd. and Lu Bing and Suzhou Jianlong Enterprise Management Partnership (Limited Partnership) on Huaxiao Precision Industry (Suzhou) Co., Ltd.” According to a package deal, the company plans to hold Huaxiao Precision Industry (Suzhou) Co., Ltd. in consideration of 23 million yuan Suzhou) 55% of Huaxiao Precision's shares (“Huaxiao Precision” for short) (as of the evaluation reference date, the assessed value of 100% of Huaxiao Precision's shares was -36,231,600 yuan) and the company's total claims of 56153.68 million yuan in Huaxiao Precision were transferred to Lu Bing and Jianlong Zaitian (of which: Mr. Lu Bing transferred 35% of Huaxiao Precision's shares and 357.340.25 million yuan in consideration of 146.363.6 million yuan. After the transaction is completed, Mr. Lu Bing will have a total control of 100% of Huaxiao Precision through direct and indirect shareholding (Mr. Lu Bing will directly hold 35% of Huaxiao Precision's shares. In addition, Mr. Lu Bing is an executive partner of Zhang Kezhen, Jianlong Zaitian, and Ming Qian Zhenji, respectively) and will become the actual controller of Huaxiao Precision; the company will no longer hold Huaxiao Precision's shares, and Huaxiao Precision will no longer be included in the scope of the company's consolidated statements.
