Zhitong Finance App News, Tianyu Ecology (603717.SH) announced that the company signed an “Investment Cooperation Framework Agreement” with AGEA (Beijing) Holdings Co., Ltd. (“AGEA”) and its shareholder Yuema Investment (Beijing) Technology Co., Ltd. on December 30, 2023. The parties agree that it is proposed to invest no more than 800 million yuan in AGEA according to the pre-investment valuation of 100% of AGEA's shares. The company or its designated entity plans to invest no more than 800 million yuan in AGEA, accounting for no less than 40% of AGEA's shares after the investment. After the investment is completed, the company will become AGEA's single largest shareholder, and has the power to restructure AGEA's board of directors and appoint some directors and executives.

According to the announcement, the company is currently not engaged in the “auto parts manufacturing” related industry, has no related business revenue, and has no market synergy with the companies it plans to invest in.
