(002825.SZ) announced that on December 22, 2023, You Aiguo and Keyuan Holdings signed a “Share Transfer Agreement”, and You Aiguo transferred its 24,199,500 shares of listed companies to Keyuan Holdings. After the aforementioned share transfer is completed, Keyuan Holdings will hold 24,199,500 shares of the listed company, accounting for 7.07% of the company's total share capital.
On the same day, You Aiguo and Keyuan Holdings signed a “Voting Rights Delegation Agreement”. From the date of entry into force of the agreement, You Aiguo irrevocably entrusts all voting rights corresponding to the 72,598,744 shares of listed companies to Keyuan Holdings for exercise. Among them, the voting rights delegation period corresponding to 54,449,144 shares starts from the effective date of the agreement and ends on the day the listed company issues shares to a specific target when the Shenzhen branch of China Settlement completes the registration procedures; the voting rights delegation period corresponding to 18,149,600 shares starts from the effective date of the agreement and ends when the shares are transferred and registered under Keyuan Holdings.
In summary, after the transfer of the agreement is completed and the voting rights entrustment takes effect, Keyuan Holdings holds 24,199,500 shares of the company, accounting for 7.07% of the company's total share capital before issuing shares to a specific target. The voting rights holding the company account for 28.29% of the total voting rights of the listed company. The controlling shareholder of the company is changed to Keyuan Holdings, and the actual controller is changed to Mr. Tao Chunfeng.
After this issuance, the number of shares directly held by Keyuan Holdings to the total share capital of the listed company (after issuance) will change to 16.21%. The voting rights held by Keyuan Holdings will account for 20.99% of the total voting rights of listed companies, and the voting rights held by You Aiguo, the second largest shareholder of the company, will account for 14.35% of the total voting rights of listed companies. After the issuance to specific targets was completed, the shareholding ratio of Keyuan Holdings increased further.
