(“Company”) intends to transfer 75% of the shares of Guangzhou Senmao Smart Energy Technology Co., Ltd. (“Guangzhou Senmao Smart Energy Technology Co., Ltd.” or “target company”) held by Mr. Ma Ge, the controlling shareholder of the company, and sign the “Guangzhou Senmao Smart Energy Technology Co., Ltd. Equity Transfer Agreement”. The agreement stipulates that the company will transfer the target company with its own capital of RMB 600,000 75% of the shares (the registered capital of the target company is RMB 30 million, paid-in registered capital of RMB 10.50 million, of which Mr. Ma Ge has paid registered capital of RMB 600,000), and the paid-in registered capital of RMB 16.5 million in the transferred shares of the underlying company has not yet been funded.
