Huaxia Culture Technology (01566) terminates the Coherent Actors Deed

Zhitong Finance ·  Sep 25, 2023 20:38

Zhitong Finance App News, Huaxia Culture Technology (01566) announced that on November 25, 2014, all co-actors signed a concerted action deed. The purpose was to confirm that the co-actors would act unanimously for control of the company at the board meeting and shareholders' meeting. All co-actors (except Ming Yang) have agreed to vote in accordance with Ming Yang or Zhuang Xiangsong's instructions when exercising the company's voting rights, and to vote unanimously by Ming Yang at the company's shareholders' meeting; and any person acting as a director but unable to attend any board meeting in person or in fact Benefit owners shall authorize and appoint Zhuang Xiangsong to exercise voting rights as a substitute director for the appointed director at the relevant board meeting. A concerted actor's deed will terminate when each concerted person terminates it in writing.

Under the Co-Actors Deed, the Co-Actors are treated as a group of concerted shareholders, and under the Securities and Futures Ordinance, they are treated as having interests in each other's share interests. Immediately before the signing of the termination deed, the cooperating persons held a total of about 250 million shares, equivalent to about 21.15% of the company's total issued share capital.

In June 2022, Shinichiro Ikeda proposed terminating the Co-Actors Deed, taking into account (1) that Mr. Ikeda is semi-retired and has little participation in the Group's business operations; and (2) that the total shareholding of the Coherent has fallen to less than 30% of the company's total shareholding, indicating that the Co-Actors no longer own a controlling interest in the company. Following discussions, the concerted actors, given their individual business and asset plans, do not intend to be bound by each other's Agreed Actors Deed any longer.

On September 25, 2023, they entered into a Deed of Termination. According to this, the Co-Actors Deed will completely terminate, and all rights and responsibilities of the Co-Actors under the Co-Actors Deed (other than the duty of confidentiality they are required to perform thereunder) will expire immediately after the termination deed is signed and will no longer have any effect or effect.
