Gelonghui September 1st 丨Qianjiang Water Resources (600283.SH) was announced.The holding subsidiary Zhejiang Qianjiang Water Resources and Water Supply Co., Ltd. (“Water Supply Company”) and Anji Guoyuan Water Group Co., Ltd. (“Guoyuan Water” for short) signed the “Anji Guoyuan Water Sludge Treatment Project and the Anji Qianjiang Water Resources South Lake Regional Water Supply Project Replacement Cooperation Agreement” on August 30, 2023. As of September 30, 2022, the net book assets of Anji Qianjiang Water Supply Co., Ltd. were 25,846,474.67 yuan, with an assessed value of 57,020,226.39 yuan; the net book assets of Anji Qianjiang Sludge Disposal Co., Ltd. were 19,957,238.06 yuan, with an assessed value of 15,536,214.46 yuan. The equity transaction difference was 41,484,011.93 yuan. The claims of the Water Supply Company and Guoyuan Water Services against Anji Water Supply Company and Anji Sludge Company were RMB 19,300,000 and RMB 60,651,321.54 respectively, and the difference in debt transfer was RMB 41,351,321.54. After the difference in equity replacement price and debt transfer is offset, the difference is 132,690.39 yuan, which is paid by Guoyuan Water to the water supply company by means of monetary fund transfers.After the equity exchange transaction was completed, Guoyuan Water owned 100% of the shares and claims of Anji Water Supply Company, and the water supply company owned 100% of the shares and claims of Anji Sludge Company.
