In order to meet the company's business development needs, further optimize the company's capital structure, improve profitability and overall competitiveness, in line with current industry developments, the company is planning to issue shares to no more than 35 specific investors. The funds raised are intended to be used for the company's new construction projects, project upgrades and supplementary liquidity. The number of shares to be issued to a specific target does not exceed 30% of the total share capital of the company before the issuance. Ultimately, the quantity issued after approval by the Shenzhen Stock Exchange and registration decision made by the China Securities Regulatory Commission shall prevail.

In order to further improve the company's long-term incentive mechanism, attract and retain outstanding talents, fully mobilize the enthusiasm and creativity of company managers and core employees, enhance the cohesiveness of employees and the company's core competitiveness, effectively combine shareholders' interests, company interests and the personal interests of the core team, so that all parties can focus on the long-term development of the company and work together to promote the long-term, sustainable and healthy development of the company, according to relevant regulations and in line with the actual situation of the company, the company plans to launch an equity incentive plan.

The incentive plan is to use a complex incentive form of restricted stocks plus stock options. The number of shares to be granted will not exceed 10 million shares, accounting for about 2.66% of the company's current total share capital. The source of the shares is the company's A-share common stock issued by the company to the incentive target.
