In the Second Distribution, stockholders of the Company will receive fifteen (15) shares of TurnOnGreen common stock and warrants to purchase fifteen (15) shares of TurnOnGreen common stock (the "TOG Securities") for each share of common stock of the Company that they own on the record date.
