Gelonghui June 28th 丨Transanhua Zhilian (002010.SZ) announced that Zhejiang Chuanhua Synthetic Materials Co., Ltd. (“Transanhua Chemical” or “target company”), a wholly-owned subsidiary of the company, is mainly engaged in the production and sale of rare earth shunbutadiene rubber and nickel-based butadiene rubber. In order to further promote the strategic development of Transanhua Synthesis and optimize the company's capital structure, the company plans to use 1.44 billion yuan to evaluate 100% shareholders' equity investment fund partnership (limited partnership) (“Chuanhua Science and Innovation Group Fund”) “Transanhua Group” for short), Zhejiang Hangmin Industrial Group Co., Ltd. (“Hangmin Group”), Yu Hanjie, and Tang Zheng respectively transferred 27.77% of the shares, 4.86% of the shares, 4.99% of the shares, 2.97% of the shares, and 2.43% of the shares of the target company. The corresponding transfer prices were 399.9 million yuan, 69.884 million yuan, 71.8560 million yuan, 42.7680 million yuan, and 34.992 million yuan (“transaction” for short). The transaction transferred a total of 43.02% of the underlying company's shares, with a total transfer price of 619 million yuan. After the transaction was completed, the company held 56.98% of the shares in Transanchemical Synthesis, which remained a holding subsidiary of the company.
