天赐材料(002709.SZ)：拟投不超2.6亿美元设立多家境外子公司

格隆汇1月13日丨天赐材料(002709.SZ)公布，2023年1月12日，公司召开了第五届董事会第四十五次会议、第五届监事会第三十七次会议审议通过了《关于投资设立境外子公司的议案》，同意公司通过全资子公司新加坡天赐投资设立全资荷兰公司，同时由荷兰天赐公司投资设立全资美国管理公司，美国管理公司投资设立全资美国实体公司1和美国实体公司2，美国实体公司成立后将主要从事锂离子电池材料的生产和销售业务，投资总额不超过2.6亿美元，资金来源为自有资金。境外子公司设立后，公司将根据市场情况，分阶段审慎投入资金。

本次设立境外子公司，为公司基于全球新能源汽车发展的前景，结合公司海外发展战略进行的布局。本次设立荷兰子公司，能够进一步完善公司海外股权投资架构，搭建公司海外投融资平台；同时，本次设立美国管理公司及实体子公司，有利于后续项目的开展和推进，为公司更好地服务及开拓北美市场做准备，符合公司锂电池材料国际化发展战略。
