格隆汇12月29日丨海默科技公告，窦剑文先生、张立刚先生和张立强先生与山东新征程能源有限公司签署了《股份转让框架协议》，正在筹划向山东新征程转让窦剑文先生、张立刚先生和张立强先生持有的公司5.20%股份。本次股份转让完成后，窦剑文先生、张立刚先生和张立强先生拟将持有的公司剩余全部股份（占总股本的13.85%）的表决权委托给山东新征程。上述交易完成后，山东新征程将持有公司19.05%的表决权，成为公司控股股东，苏占才先生将成为公司实际控制人。同时，公司拟筹划向特定对象发行股票，山东新征程拟以现金方式全额认购公司向特定对象发行的新股。
