Zhitong Financial App News, Xiamen Port Administration (03378) announced that on June 2, 2022, the company entered into an absorption merger agreement with Xiamen Port Investment and Operation Co., Ltd. (merging party). The company and the merging party will implement the absorption merger in accordance with the terms and conditions of the absorption merger agreement. After the completion of this absorption and merger, the merging party, as the surviving party after the merger, will inherit and undertake all the assets and liabilities of the company. The rights and interests, business, personnel, contract and all rights and obligations of the company will be cancelled. After the prerequisites and all effective conditions are met, the company will apply to the Hong Kong Stock Exchange for voluntary withdrawal of H-share listing status.

As of the date of announcement, the board of directors of the company and the executive directors and shareholders of the merging party have examined and approved the merger.

The prerequisites and effective conditions must be reached before the entry into force of the absorption merger agreement. Therefore, the entry into force of the absorption merger agreement is only one possibility. In addition, this absorption merger can only be confirmed after the implementation conditions have been fulfilled and exempted, and the company cannot guarantee that any or all of the conditions or prerequisites can be met. Therefore, the absorption merger agreement may or may not take effect. Or if it comes into effect, it will not necessarily be completed.
