Zhitong Financial APP News, Bandung Holdings Group (00030) and offeror Yunbai Pharmaceutical Hong Kong Co., Ltd. jointly announced that the offer closed at 4: 00 p.m. on January 18, 2022, and has not been revised or extended.

At 4: 00 p.m. on 18 January 2022, the Offeror has received valid acceptance of approximately 3.102 billion offer shares under the offer, equivalent to approximately 48.11% of the total number of shares in issue.

Immediately after the closing of the offer, the offeror and its actors had an interest in a total of about 5.066 billion shares, equivalent to about 78.56 per cent of the total number of issued shares.

Immediately after the closing of the offer and on the date of the joint announcement, the public held about 1.382 billion shares, equivalent to about 21.44% of the total number of shares issued. Therefore, it does not comply with the minimum public shareholding requirement of 25% as set out in Rule 8.08 (1) (a) of the listing rules. The company has applied to the Stock Exchange for temporary exemption from strict compliance with Rule 8.08 (1) (a) of the listing rules. The sole director of the offeror and the directors of the company will take appropriate measures to ensure that sufficient public shareholding of the shares is maintained as soon as possible after the close of the offer.
