The announcement shows that, after taking into account all the circumstances and after friendly negotiation, on November 25, 2021 (after the end of the trading session), the company (for itself and on behalf of its subsidiaries and contacts) and Xinyuan Real Estate Holdings (for itself and on behalf of its subsidiaries and contacts) agreed not to conduct the proposed transactions under the pre-delivery and supplementary framework agreement for advisory services. And concluded the termination agreement before the termination of delivery and the supplementary framework agreement for consulting services.

From the date of termination of the Agreement, all rights and obligations prior to delivery and under the Supplementary Framework Agreement for Consulting Services shall be terminated, neither party shall make any claim against the other party for fees or breaches relating to the pre-delivery and Supplementary Framework Agreement for Consulting Services.

Therefore, the annual cap for the year ended 31 December 2021 prior to delivery in 2019 and under the consultancy Services Framework Agreement remains at RMB 156 million.

According to the Group's management accounts for the nine months ended 30 September 2021, the amount of unaudited transactions prior to delivery in 2019 and under the Advisory Services Framework Agreement for the nine months ended 30 September 2021 was approximately RMB97.218 million. This amount does not exceed the existing 2021 annual limit of RMB 156 million.
