Bidding for Singapore Press Holdings Heats Up as Cuscaden Raises Offer

A consortium backed by Singapore state investment company Temasek Holdings has sweetened its offer for Singapore Press Holdings Ltd., valuing the company at 3.9 billion Singapore dollars (US$2.88 billion) and rivaling a bid by another conglomerate.

Cuscaden Peak, a consortium of companies affiliated with Temasek, Hotel Properties Ltd. and Mapletree Investments Pte. Ltd., has now offered to pay S$2.400 for each SPH share, 14.3% higher than its original offer of S$2.10 a share, SPH said Monday.

The offer comes after Keppel Corp. made its own revised offer of S$2.351 a share last week.

Cuscaden's offer comprises a total consideration of S$2.4001 a share, consisting of S$1.602 of cash per share and 0.782 SPH REIT units valued at S$0.798 a share, SPH said. The offer also includes an all-cash offer of S$2.360 per SPH share.

The bid made by Keppel, which has business interests spanning from rig building and properties to infrastructure, is a combination of cash and Keppel REIT units.

SPH, which plans to hold a shareholders meeting on Dec. 8 to vote for the Keppel deal, said that "Cuscaden's offer can only proceed if SPH shareholders vote against the Keppel Scheme at the Keppel Scheme Meeting."
