Zhitong Financial APP, Omori Holdings (01580) announced that the board of directors decided to implement the debt restructuring plan and the revised public offering to provide funds for the implementation of the creditor plan. It is expected that the company will carry out debt restructuring through the implementation of agreement arrangements in Hong Kong, and after the commencement of the creditors' scheme, the company will make cash payments to creditors and issue new shares on a pro rata basis in accordance with the creditors' plan on a pro rata basis. Cash payments under creditors are expected to be disbursed from the proceeds of the modified public offering.

On 1 September 2021, the Board resolved to further adjust the terms of the revised Public offer on the basis of 3 offer shares for every 5 shares held by eligible shareholders on the record date at the offer price of HK $0.04 per offer share. The offer price of HK $0.040 per offer share is about 65.52% lower than the closing price of HK $0.116 per share as quoted on the Stock Exchange on September 1, 2021; and the number of offer shares is 584.6 million, the total number of shares upon completion of the revised public offering is 1.559 billion shares, and the funds to be raised (before expenses) are HK $23.4 million.

As the shares are traded at less than HK $2000 per lot, the Board recommends that each lot traded on the Stock Exchange be changed from 5000 shares to 30, 000 shares upon completion of the modified Public offering.
