Chinahongqiao Group Limited ("Chinahongqiao") announced that it has renewed the industrial waste service agreement and production water supply agreement with Beihai Solid Waste and Weiqiao Venture Group respectively. These agreements will be valid from January 1, 2025, until December 31, 2027. Beihai Solid Waste will provide industrial waste collection, transportation, storage, and disposal services to Chinahongqiao and its subsidiaries, while Weiqiao Venture Group will supply production water to Shandong Hongqiao. As Beihai Solid Waste is 51% owned by Weiqiao Venture Group, and Weiqiao Venture Group is the contact person for the executive director Mr. Zhang Bo, these transactions constitute continuous connected transactions. According to the Listing Rules, this transaction must comply with the disclosure, reporting, and annual review requirements but is exempt from compliance with the circular and independent shareholder approval requirements. Chinahongqiao stated that the renewed agreements will help improve the group's operational efficiency, meet production needs, and ensure the fairness and reasonableness of the transaction price.
