BTC Digital has entered into an equity transfer agreement on September 6, 2024, to acquire an additional 5.23% stake in its cryptocurrency mining machine joint venture from four existing equity holders. The acquisition will be executed through its wholly-owned subsidiary, Met Chain Investment Holding Company Ltd.The transaction is valued at US$1.05 million and will be settled by issuing new ordinary shares of BTC Digital. The number of shares to be issued will be determined based on the average trading price of the company's ordinary shares over the 90 trading days preceding the closing date. Upon completion, BTC Digital's ownership in the joint venture, which focuses on researching, developing, manufacturing, and selling cryptocurrency mining machines, will increase from the current 24.3%.
