On June 21, 2024, JD Health completed the seventh amendment and restatement of its articles of association through a special resolution. The revision involved many contents of the outline and detailed rules of the company's organizational charter, including the company name, registered office address, purpose of establishment, shareholder responsibilities, share capital structure, and the right to register outside the Cayman Islands. In addition, the detailed rules of the articles of association also clarified the power of the board of directors, provisions for share transfers, convening of shareholder meetings, shareholder voting rights, financial reports, and auditing matters. This amendment aims to further improve the company's governance structure and comply with relevant requirements of the Cayman Islands Companies Act.
