Xtep Int'l Holdings Limited ("Xtep Int'l") announced on June 14, 2024 that the circular to shareholders originally scheduled to be issued on or before the same day will be postponed until July 15, 2024 or before. The circular contains various important matters, including the sale of all of KP Global's issued share capital, a proposal to declare a special dividend, an early redemption of convertible bonds by KP Global, the issuance of convertible bonds by Xtep Int'l in the principal amount of HKD 500 million, the grant of subscription options by controlling shareholders to investors of KP Global's convertible bonds, the issuance of convertible bonds by KP Global to Xtep Int'l in the principal amount of USD 154 million, and exemption from non-compete agreements.
