TAM CHAI INTERNATIONAL LIMITED (“TAM CHAI INTERNATIONAL”) ANNOUNCES A RENEWAL MANAGEMENT SERVICE AGREEMENT WITH ITS WHOLLY OWNED SUBSIDIARY, LIDO HONG KONG, A DIRECT WHOLLY OWNED SUBSIDIARY OF LIDO HONG KONG. The Agreement will enter into force on 31 May 2024 for a period of one year until 31 May 2025. This renewal agreement is a renewal after the end of the Management Services Agreement in 2023 and is a continuing connected transaction pursuant to Chapter 14A of the Listing Rules. The maximum annual service fee to be paid for Marugame noodles in Hong Kong will not exceed HK$500 million and HK$100 million, respectively. The Board considers that by providing management services, Tan Chai International will be able to enhance the utilisation of existing business resources and potentially further enhance its operating advantage. To ensure fair and reasonable transactions, the company has implemented relevant internal monitoring measures. The independent non-executive directors will review the relevant transactions on an annual basis and an annual review by external auditors.
