The shares may be sold at a total offering price of up to $2,300,000. However, there is no obligation for the company to sell any shares under this agreement. AGP will endeavor to sell the shares according to the company's instructions and in compliance with legal and Nasdaq regulations. The agreement is set to terminate upon the sale of all shares, the expiration of the registration statement, or by other termination conditions outlined in the agreement. Freight Technologies will compensate AGP with 3.0% of the gross proceeds from the share sales and will also reimburse AGP for certain expenses. The shares will be issued under the company's Registration Statement on Form F-3, which was declared effective on September 26, 2022. The company has also filed the opinion of its counsel regarding the validity of the shares to be issued under British Virgin Islands law.
