ASIA FRUIT HOLDINGS LIMITED ANNOUNCED THAT THE ORIGINAL JOINT VENTURE WITH PARTNERS HAS BEEN TERMINATED ON 18 APRIL 2024. The joint venture was designed to engage in the brokerage and buying and selling of used cars in China, but due to internal reasons and the preliminary plan could not be implemented, the two parties reached a consensus on dissolving the joint venture agreement. Cheer Kind, a wholly owned subsidiary of Asia Fruit, entered into a termination agreement with its partners after the trading period confirming that both parties have their rights and responsibilities under the partnership agreement terminated. By the date of termination of the Agreement, the Joint Venture has not commenced business operations or entered into any contracts or incurred liabilities. ASIA FRUIT SAID THE COMPANY HAD NO OTHER SIGNIFICANT CAPITAL COMMITMENTS AND EXPENSES OTHER THAN INITIAL SETUP COSTS AND PROFESSIONAL FEES.
