On the evening of January 3rd, SHIMAO SERVICES announced on the Hong Kong Stock Exchange that on January 3, 2025, SHIMAO Tiancheng and the buyer (both subsidiaries wholly owned indirectly by the company) entered into an equity transfer agreement and a settlement agreement with the seller and original shareholders. According to this, the seller agreed to sell and the buyer agreed to purchase 33% equity of the target company - Shenzhen Shilu Yuan Environmental Co., Ltd. The target company mainly provides integrated urban and rural sanitation services in China and is currently a non-wholly owned subsidiary in which the group holds a 67% interest. Upon completion of the acquisition, the target company will become a wholly owned subsidiary of the company. The consideration for the acquisition is set at 83.159 million yuan. The seller and original shareholders owe debts to the group due to performance commitments provided under the original acquisition terms. The acquisition is now part of the performance compensation settlement.
