Will Semiconductor announced that the Ningbo Yurenrong Education Fund plans to donate its 0.6 million unrestricted circulating shares of Will Semiconductor to the Ningbo Dongfang Polytechnic University Education Foundation free of charge, accounting for approximately 0.05% of the company's current total share capital. As a non-public fund, the Yurenrong Education Fund must conduct this donation to comply with the relevant provisions of the Foundation Management Regulations. The Dongfang Polytechnic Foundation and the Yurenrong Education Fund commit that the donated Will Semiconductor stocks will be combined with the reduction quota of the controlling shareholder of Will Semiconductor, and before the reduction, the obligations of information disclosure will be fulfilled according to the disclosure requirements of the reduction of stocks by the controlling shareholder of Will Semiconductor. The implementation of this donation of shares will not result in a change of control of the company and will not affect the company's governance structure, equity structure, or ongoing operations.
