JCET Group Co., Ltd. announcement, shareholders Fund and Chip Semiconductor have respectively signed the "Share Transfer Agreement" with Panshi Hong Kong, Fund will transfer its 9.74% stake in the company to Panshi Hong Kong or its affiliates; Chip Semiconductor will transfer its 12.79% stake to Panshi Hong Kong or its affiliates. The recipient of the shares involved was changed from Panshi Hong Kong to Panshi Runqi. The State-owned Assets Supervision and Administration Commission of the State Council has issued an approval for this share transfer. This equity change has been confirmed to be compliant with the agreement transfer rules by the Shanghai Stock Exchange, and the transfer registration procedures for the relevant shares were completed on November 12, 2024. On November 29, 2024, the company convened the third extraordinary general meeting of shareholders in 2024 to complete the restructuring of the board of directors. After this board restructuring, Panshi Runqi is able to control over half of the board seats. Combining the current shareholding status of the company's shareholders and the arrangement of the board of directors, after careful consideration, the controlling shareholder of the company has changed to Panshi Runqi, and the actual controller has changed to China China Resources Limited.
