Ping An Insurance announced on the evening of July 3rd on the HKEx that, according to Lufax's stock dividend plan, a total of 586,176,878 new Lufax shares (including Lufax shares related to Lufax's American depositary receipts) will be distributed and issued as Lufax special dividends. Among these new Lufax shares, 305,989,352 new Lufax shares and 203,890,905 new Lufax shares will be respectively allocated and issued to Anke Technology and Ping An Overseas Holdings. After completion, the total number of Lufax shares held by Lufax's controlling shareholder Lufax Holdings will increase from 474,905,000 Lufax shares (about 41.40% of the total issued Lufax shares as of the date of this announcement) to 984,785,257 Lufax shares (about 56.82% of the total issued Lufax shares after the enlarged issuance of new Lufax shares for Lufax special dividends). Therefore, Lufax will become an indirectly non-wholly-owned subsidiary of Ping An Group, and Lufax Group's financial performance will be consolidated into Ping An Group's financial statements.
