According to the announcement of VV Food & Beverage, the company recently received a "Taxation Matters Notice (Notice of the Determination of the Taxable Amount)" from the Zhijiang Taxation Bureau of the State Administration of Taxation forwarded by Zhijiang Distillery Co., Ltd. of Hubei Province. As of June 4, 2024, Zhijiang Distillery did not declare or pay taxes on consumption tax from January 1, 1994 to October 31, 2009 in accordance with the prescribed reporting deadline. Based on the investigation and verification results, the Zhijiang District Taxation Bureau of the State Administration of Taxation determined that the total tax payable by Zhijiang Distillery from January 1, 1994 to October 31, 2009 was 85.0029 million yuan. According to the announcement, Zhijiang Distillery was the original holding subsidiary of VV Food & Beverage. In 2020, VV Food & Beverage transferred all of its 71% equity in Zhijiang Distillery, and at the end of 2020, the company no longer included Zhijiang Distillery in its scope of consolidation. According to the relevant agreement signed by VV Food & Beverage and Jiangsu Zongyi Holdings Group Co., Ltd. (hereinafter referred to as "Jiangsu Zongyi", the controlling shareholder of Zhijiang Distillery), when VV Food & Beverage transferred the equity of Zhijiang Distillery, if the tax authority retrospectively levies taxes on Zhijiang Distillery for any unpaid or underpaid taxes before the delivery date, VV Food & Beverage shall be responsible for paying the above-mentioned taxes.
