Galaxy Electronics announced that the company's wholly-owned subsidiary, Anhui Xiaojun Intelligent Equipment Co., Ltd. (“Xiaojun Smart”), plans to acquire all unmanned assets of Hefei Zhixingtong Intelligent Technology Co., Ltd. (“Hefei Zhixingtong” for short) for 10 million yuan. Established in March 2020, Hefei Zhixingtong is a high-tech innovative enterprise focusing on intelligent mobile robots, unmanned driving, military target vehicles and other technical fields. This transaction will help make up for the shortcomings of unmanned intelligent special equipment of listed companies, accelerate the expansion of the company's intelligent special equipment business field, and enhance the overall market competitiveness and future market development space of listed companies. This transaction constitutes a related transaction, but it does not constitute a major asset restructuring. The transaction consideration is based on the assessed value determined in the evaluation report issued by the evaluation agency, and is determined by agreement between the parties to the transaction. After the transaction is completed, all of Hefei Zhixingtong's unmanned assets and personnel will be merged into the company to further improve the company's layout in the field of unmanned equipment and increase the company's core competitiveness in the field of unmanned technology. This transaction will not adversely affect the company's financial status and operating results.
